Associate General Counsel
The associate general counsel provides a wide range of legal services and advice to the
Company and Senior Officers, as requested. The incumbent works closely with general counsel, senior management, outside legal counsel and employees at all levels. Candidates should possess strong leadership, analytical, verbal and written communication skills. A juris doctorate (JD) is required. Requires background in transactions, intellectual property, labor, real estate and securities laws as well as experience in compliance and corporate governance issues. The incumbent should also possess demonstrated experience with the U.S. Securities and Exchange Commission (SEC) regulations. Experience with Sarbanes-Oxley legislation or industry-specific government regulation also is preferred.
Incumbent assists in protecting an organization's legal interest and maintaining its operations within the scope established by law. Responsible for identifying and analyzing legal issues, drafting key documents, presenting clear recommendations, and assuring legal compliance.
Essential Duties and Responsibilities:
Consulting with management, commercial advisors, tax experts, accountants and marketing staff.
Negotiating and drafting contractual agreements, such as real estate leases, and advising on employment matters
Overseeing corporate governance issues.
Keeping informed of industry-specific regulations and ensuring that appropriate risk management strategies are in place
Provide legal support to corporate departments and functions such as Finance, IT and HR.
Advocate and protect the company’s legal interest and maintain its operations within the scope established by law and regulatory environment.
Prepare and review contracts related to the business development and operations of the organization, and identify and analyze legal issues, draft key documents, present clear recommendations, and assure legal compliance.
Respond to legal issues and counsels management on the legal aspects of business development activities, and on operational legal issues.
Serve as a legal resource for all levels within the Company or assigned business segments, including working with customer service department on client concerns regarding legal issues for the Company.
Provides policy development guidance and assists in identifying, implementing, and maintaining the Company’s Corporate Compliance Program, as needed or requested.
Research and analyze law sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions, and legal codes to prepare legal documents, such as briefs, pleadings, appeals, contracts, etc.
Support General Counsel with acquisition and strategic alliance related activities with an emphasis on due diligence, reviewing and preparing transaction document and assisting and participating in negotiations.
Support General Counsel with Legal/Administrative oversight of intellectual property, and in areas of employment law and commercial litigation as needed.
Education/Experience Requirements
Juris Doctorate (JD) required.
5-10 years legal experience in a law firm or an in-house corporate environment.
Specialized Knowledge/Beneficial Skills and Experience:
Knowledge of legal principles and practices, including civil, criminal, constitutional, contract, employment, administrative and business law and procedures; methods, procedures and practices used in the conduct of civil litigation; judicial procedures and rules of evidence;
Excellent contract drafting and negotiating, and issue identification and problem-solving skills
Excellent judgment and initiative in selecting the most effective solutions
Business-oriented approach to problem-solving, tempered by an appreciation for legal complexity and risk
Must be detail-oriented and resourceful with excellent follow-through skills
Ability to work under pressure and prioritize and manage workload, managing simultaneous tasks, and meet deadlines within a changing fast-paced environment
